Company Overview

Our client is a private investment firm founded in 2010 with offices in the United States and Europe, specializing in alternative credit strategies. It specializes in acquiring and managing alternative credit assets, particularly those tied to complex situations such as bankruptcies, restructurings, or distressed debt portfolios.

The firm invests directly in residential and commercial mortgage loans at all stages, mortgage servicing rights, and select consumer and alternative credit assets.

Purpose of the Role

We are looking for a motivated and detail-oriented Corporate Administrator to manage administrative and corporate governance matters for Luxembourg entities. The role requires strong communication skills and collaboration across teams in Luxembourg, the US, UK, and other parts of Europe. Primary responsibilities include ensuring compliance with statutory requirements and supporting the general operations of Luxembourg companies.

Key Responsibilities

Corporate Governance & Administration

  • Manage Luxembourg companies from incorporation to liquidation, including day-to-day administration.
  • Maintain statutory records, shareholders’ registers, and filings with the Luxembourg RCS and RBE.
  • Draft, review, and update corporate documentation (e.g., board minutes, PoAs, drawdown tables, subscription/redemption notices, audit confirmations).
  • Coordinate and document Board meetings, shareholders’ meetings, and AGMs.

Transaction & Financial Support

  • Liaise with banks, depositaries, and administrators to ensure all parties have supporting documentation for investments and divestments.
  • Coordinate with financial institutions for the opening and closure of bank accounts.
  • Support the accounting team and administrator in preparing year-end deliverables for financial statement audits and tax compliance filings.
  • Work closely with international teams to ensure alignment on transactions, cash management, and reporting.

Compliance & Reporting

  • Assist legal and compliance teams with Luxembourg corporate law and AML/CTF measures.
  • Maintain the company database and document management system.

Operational & Office Support

  • Oversee general office administration and provide operational support to the team.
  • Take on additional responsibilities as delegated by senior officers, including process improvements.

Your Profile

  • Bachelor’s or University degree in Law, Economics, Finance, or a related field.
  • Minimum 3-5 years in a corporate secretary or paralegal position in Luxembourg.
  • Experience in Private Equity and/or Debt industry is an asset.
  • Strong knowledge of Luxembourg corporate law and company secretary tasks.
  • Previous experience in a law firm and/or corporate services provider is an asset.
  • Excellent organizational, communication, and collaboration skills.
  • Ability to work under pressure and meet tight deadlines.
  • Proactive, self-driven, and able to work independently with minimal supervision.
  • Fluency in English required; knowledge of French is an asset.
