Responsibilities
- Maintaining corporate records and books
- Prepare, facilitate and attend quarterly board meeting including the mandatory annual board meeting approving the standalone financial statements, prepare related board packs, notices and minutes
- Arrange the annual general meeting of the shareholders including drafting of the minutes (or drafting written shareholders resolutions re approval of the standalone financial statements)
- Review of, and drafting of, shareholder resolutions, EGM, AGM and board meetings
- Liaise with local authorities and arrange for local filings
- Setting up operating memoranda/SLA’s
- Day-to-day legal and administration tasks for funds
- Review of, and drafting of, shareholder resolutions, EGM, AGM and board meetings
- Handling client portfolio including compliance, KYC and AML aspects
- Manage and maintain RBE records
- Ensuring maintenance of client data base
- Working closely together with the partner in charge on the onboarding of clients for document review and setup of new client entities

- Have a Master degree in (corporate or funds) law or professional studies
- Have a minimum of 10 years of relevant working experience in the fund industry and at least 5 years of experience as people leader. Experience in a fund management environment or law firm will be considered as an asset
- Are fluent in English, written and spoken. French or any additional language is considered as an advantage
