Responsibilities

  • Maintaining corporate records and books
  • Prepare, facilitate and attend quarterly board meeting including the mandatory annual board meeting approving the standalone financial statements, prepare related board packs, notices and minutes
  • Arrange the annual general meeting of the shareholders including drafting of the minutes (or drafting written shareholders resolutions re approval of the standalone financial statements)
  • Review of, and drafting of, shareholder resolutions, EGM, AGM and board meetings
  • Liaise with local authorities and arrange for local filings
  • Setting up operating memoranda/SLA’s
  • Day-to-day legal and administration tasks for funds
  • Review of, and drafting of, shareholder resolutions, EGM, AGM and board meetings
  • Handling client portfolio including compliance, KYC and AML aspects
  • Manage and maintain RBE records
  • Ensuring maintenance of client data base
  • Working closely together with the partner in charge on the onboarding of clients for document review and setup of new client entities

  • Have a Master degree in (corporate or funds) law or professional studies
  • Have a minimum of 10 years of relevant working experience in the fund industry and at least 5 years of experience as people leader. Experience in a fund management environment or law firm will be considered as an asset
  • Are fluent in English, written and spoken. French or any additional language is considered as an advantage
